Terms governing access to the VANTINEX platform

These Terms of Service set out the rules, responsibilities and conditions that apply when accessing or using VANTINEX.

VANTINEX Terms of Service

Please read these Terms carefully. They apply to company account holders, administrators, operations users, clients, clearing agents and other authorised users of VANTINEX.

Current Version 1.0 Effective 28 August 2026

1. Introduction

These Terms of Service govern access to and use of the VANTINEX® software platform, website, services, features and associated systems, collectively referred to as the "Service".

VANTINEX is a software-as-a-service platform designed to assist businesses with logistics management, shipment administration, fleet records, document management, shipment progress, client relationships, clearing agents and related business operations.

By creating an account, purchasing or activating a subscription, accepting these Terms electronically or continuing to use the Service after being presented with these Terms, you agree to be bound by them.

2. Business Use of VANTINEX

VANTINEX is primarily intended for business use by transport companies, logistics businesses, client companies, clearing agents and other authorised users.

VANTINEX provides software tools for managing logistics information but does not itself become a transporter, freight forwarder, carrier, clearing agent, customs agent, insurer or party to any shipment merely because shipment information is stored or managed through the platform.

3. Licence to Use VANTINEX

Subject to these Terms and payment of any applicable subscription fees, VANTINEX grants authorised customers a limited, revocable, non-exclusive, non-transferable and non-sublicensable right to access and use the Service for legitimate internal business purposes.

Access to the Service does not transfer ownership of VANTINEX or any associated intellectual property to the customer or user.

4. Intellectual Property

VANTINEX®, its software and its associated intellectual property are legally protected.

All rights in and to VANTINEX remain with the legal owner, including rights relating to:

  • The VANTINEX® name and trademark
  • Software and source code
  • Object code
  • Database structures and relationships
  • Software architecture
  • APIs and integrations
  • System workflows
  • User interfaces
  • Templates and reports
  • Graphics and visual elements
  • Documentation
  • Algorithms and technical processes
  • Improvements and modifications
  • Proprietary technical and business know-how

Except for the limited right to use the Service under these Terms, no intellectual property rights are granted to customers or users.

5. Prohibited Use

Except where expressly permitted by applicable law, users may not:

  • Copy, reproduce or distribute VANTINEX or substantial proprietary portions of the Service.
  • Sell, resell, sublicense or commercially distribute access to VANTINEX without written authorisation.
  • Attempt to obtain, reconstruct or gain unauthorised access to VANTINEX source code.
  • Reverse engineer, decompile or disassemble the Service except where applicable law expressly permits such activity.
  • Circumvent security measures, subscription limits or account restrictions.
  • Scrape or systematically extract proprietary platform information or structures.
  • Copy VANTINEX interfaces, documentation or proprietary materials for use in developing a competing product.
  • Use confidential or proprietary VANTINEX information to create, assist or improve a competing software product.
  • Remove copyright, trademark or proprietary notices.
  • Introduce malicious software or attempt to compromise the Service.
  • Access another customer or user's information without authorisation.
  • Use the Service for unlawful activities.

6. Account Responsibility

Customers are responsible for maintaining control over their VANTINEX accounts and authorised users.

Users must:

  • Keep passwords and login credentials secure.
  • Provide accurate account information.
  • Ensure that only authorised persons access their accounts.
  • Assign appropriate roles and permissions to users.
  • Remove access when a user is no longer authorised.
  • Notify VANTINEX of suspected unauthorised access or account compromise.

Customers remain responsible for activity carried out through accounts and permissions under their control.

7. Company Accounts and Authorised Users

Where VANTINEX is registered or subscribed to by a company, the individual creating or accepting the account on behalf of that company confirms that they have authority to bind the company to these Terms.

The company account holder is responsible for ensuring that administrators, operations users, clients, clearing agents and other authorised users comply with these Terms.

8. Customer Data

Customers retain ownership of the information and documents they upload to VANTINEX.

By uploading information to the Service, the customer authorises VANTINEX to host, store, process, reproduce, transmit and technically handle that information as reasonably necessary to provide, maintain, secure and support the Service.

VANTINEX does not obtain ownership of customer information merely because it is stored within the platform.

9. Responsibility for Information and Documents

Customers remain responsible for ensuring that information and documentation entered into or uploaded to VANTINEX is accurate and lawfully obtained.

This may include information relating to:

  • Shipments
  • Vehicles
  • Drivers
  • Clients
  • Clearing agents
  • Suppliers
  • Transport documentation
  • Fleet documentation
  • Other third parties

Customers must ensure that they have the necessary legal authority to collect, upload, use and share such information.

10. Document Storage

VANTINEX may allow users to upload, store, view and download shipment, fleet and other business documentation.

Customers remain responsible for:

  • The accuracy of documents.
  • The authenticity of documents.
  • Maintaining required original documentation.
  • Legal and regulatory record-retention requirements.
  • Determining whether electronic copies are legally sufficient for a particular purpose.

Customers should maintain independent copies of legally or commercially critical documents.

11. Logistics Information

Shipment locations, statuses, estimated dates, progress information, border information and similar records may depend upon information entered by customers, transport operators, clearing agents or other authorised users.

Unless expressly stated otherwise, VANTINEX does not independently verify information entered by users.

VANTINEX therefore does not guarantee:

  • Delivery dates
  • Border clearance
  • Customs approval
  • Vehicle availability
  • Driver performance
  • Cargo condition or safety
  • Accuracy of information provided by third-party users

12. Subscriptions and Package Limits

Access to VANTINEX may require an active paid subscription.

Subscription packages may contain limits relating to:

  • Number of users
  • Active shipments
  • Fleet records
  • Storage
  • Available functionality
  • Other platform resources

Customers may not deliberately circumvent or manipulate subscription limits.

13. Fees and Payment

Applicable subscription fees are payable according to the pricing, quotation, invoice or subscription arrangement provided to the customer.

Failure to pay amounts when due may result in suspension or restriction of the Service.

VANTINEX may amend future subscription pricing by providing reasonable notice.

Changes will not retrospectively alter fees already paid for a current prepaid subscription period.

14. Security

VANTINEX uses reasonable technical and organisational measures intended to protect the Service and information stored through it.

However, no internet-connected system can be guaranteed to be completely secure or continuously available.

Customers and users are responsible for maintaining reasonable security practices relating to their own devices, networks, accounts and credentials.

15. Service Availability

VANTINEX aims to provide a reliable and continuously available Service.

Access may occasionally be interrupted by:

  • Maintenance
  • Software updates
  • Hosting or infrastructure failures
  • Internet or telecommunications failures
  • Security incidents
  • Third-party service interruptions
  • Emergency maintenance
  • Circumstances outside reasonable control

VANTINEX does not guarantee uninterrupted or completely error-free operation.

16. Platform Updates

VANTINEX may modify, improve, update or replace features from time to time for reasons including security, performance, compatibility, legal compliance, technical improvement or continued product development.

17. Third-Party Services

VANTINEX may depend upon or integrate with third-party services such as hosting providers, APIs, communication systems, payment services or other infrastructure.

VANTINEX is not responsible for interruptions or failures in third-party systems outside its reasonable control.

18. Suspension of Accounts

VANTINEX may suspend or restrict access where reasonably necessary due to:

  • Non-payment
  • Material breach of these Terms
  • Suspected unlawful activity
  • Security threats
  • Unauthorised account access
  • Abuse of the Service
  • Deliberate circumvention of subscription restrictions
  • Conduct creating a material risk to other customers or the VANTINEX platform

Where reasonably practical, customers will be given an opportunity to correct a breach before suspension unless immediate action is required to protect VANTINEX, its users, infrastructure or information.

19. Termination

Customers may cancel or elect not to renew their subscription subject to their applicable subscription arrangement.

VANTINEX may terminate access following a serious or unresolved breach of these Terms.

Immediate termination may occur in serious circumstances involving fraud, deliberate security attacks, unlawful activity or intentional intellectual property infringement.

20. Data After Termination

Customers should export or retain any information and documentation they require before or shortly after termination of their account.

VANTINEX may delete customer information following a reasonable post-termination retention period, subject to legal requirements, legitimate backup processes and any separate written agreement with the customer.

21. Limitation of Liability

To the maximum extent permitted by applicable law, VANTINEX shall not be liable for indirect, incidental, special or consequential losses arising from use of the Service, including loss of anticipated profits, business opportunities or reputation.

Subject to applicable law, VANTINEX's aggregate contractual liability arising from the Service during any twelve-month period shall not exceed the total subscription fees actually paid by the affected customer during the twelve months preceding the event giving rise to the claim.

22. Customer Responsibility and Indemnity

To the extent permitted by law, customers remain responsible for third-party claims or losses resulting from:

  • Unlawful information uploaded by the customer
  • Intellectual property infringement caused by customer materials
  • Fraudulent use of the Service
  • Deliberate security attacks
  • Unlawful use of VANTINEX
  • Material breach of these Terms

23. VANTINEX Trademark

VANTINEX® is a protected trademark.

Customers and third parties may not use the VANTINEX name, logo or confusingly similar branding in a way that falsely suggests ownership, endorsement, partnership, affiliation or source without written authorisation.

24. Privacy

Personal information processed through VANTINEX is subject to the VANTINEX Privacy Policy and applicable law.

The Privacy Policy should be read together with these Terms of Service.

27. Events Outside Reasonable Control

VANTINEX shall not be responsible for delays or failures caused by events outside its reasonable control, including natural disasters, war, civil unrest, major infrastructure failures, telecommunications outages, government action or similar circumstances.

28. Governing Law

These Terms are governed by the laws of the Republic of Namibia.

Nothing in these Terms removes any mandatory legal right that cannot lawfully be excluded or restricted.

29. Disputes

Where possible, the parties should first attempt in good faith to resolve disputes by written communication before commencing ordinary legal proceedings.

Nothing prevents either party from seeking urgent interdictory, protective or preservation relief from a court where necessary.

Subject to applicable law, disputes shall fall under the jurisdiction of the appropriate courts of Namibia.

30. General Provisions

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in effect.

No Waiver

Failure by VANTINEX to immediately enforce a right does not constitute a waiver of that right.

Entire Agreement

These Terms, together with any applicable Privacy Policy, subscription agreement, quotation, order form or other expressly incorporated written agreement, form the legal framework governing use of VANTINEX.
